ACCEPTANCE OF TERMS THROUGH USE

INDEMNIFICATION

Upon a request by Russian TV Guide, you agree to defend, indemnify, and hold harmless Russian TV Guide and its subsidiary and other affiliated companies, and their employees, contractors, officers, and directors from all liabilities, claims, and expenses, including attorney's fees, that arise from your use or misuse of this site. Russian TV Guide reserves the right, at it own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Russian TV Guide in asserting any available defenses.

MEMBER CONDUCT

You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from which such Content originated. This means that you, and not Russian TV Guide, are entirely responsible for all Content that you upload, post, email or otherwise transmit via the Service. Russian TV Guide does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. You acknowledge that Russian TV Guide does not pre-screen Content, but that Russian TV Guide and its designees shall have the right (but not the obligation) in their sole discretion to refuse or move any Content that is available via the Service. PUBLIC CONTENT POSTED TO RUSSIAN TV GUIDE

(a) For purposes of the TOS, "publicly accessible areas of the Service" are those accessible by the general public. 

(b) With respect to Content you elect to post for inclusion in publicly accessible areas of Russian TV Guide or that consists of photos or other graphics you elect to post to any other publicly accessible area of the Service, you grant Russian TV Guide the world-wide, royalty free and non-exclusive license to reproduce, modify, adapt and publish such Content on the Service solely for the purpose of displaying, distributing and promoting the specific section of Russian TV Guide to which such Content was submitted, or, in the case of photos or graphics, solely for the purpose for which such photo or graphic was submitted to the Service. This license exists only for as long as you elect to continue to include such Content on the Service and shall be terminated at the time you delete such Content from the Service.

INTERNATIONAL USE

Russian TV Guide makes no representation that materials on this site are appropriate or available for use in locations outside the United States, and accessing them from territories where their contents are illegal is prohibited. Those who choose to access this site from other locations do so on their own initiative and are responsible for compliance with local laws.

CHOICE OF LAW AND FORUM

These Terms of Use shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms of Use or your use of this site shall be filed only in the state or federal courts located in the State of New York, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.

SEVERABILITY AND INTEGRATION

Unless otherwise specified herein, this agreement constitutes the entire agreement between you and Russian TV Guide with respect to this site and supersedes all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and Russian TV Guide with respect to this site. If any part of these Terms of Use is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.

TERMINATION

Russian TV Guide reserves the right, in its sole discretion, to terminate your access to all or part of this site, with or without notice.
